The following Terms and Conditions of Use relate to all organisations and individuals that use Trade Engine. We reserve the right to change the content of these Terms and Conditions and will make every effort to inform all our users should they change.

[1] All Intellectual Property Rights in all materials created or made available by Trade Engine Ltd. (hereafter, Trade Engine) to the Software User (i.e. the person(s) or company named on this invoice) in the course of the agreed provision of the Quality Management System (hereafter, QMS) services shall remain with Trade Engine Ltd.

[2] The user of the software platform and support materials called ‘Trade Engine’ (herein, the Software User) shall have a non-exclusive licence to use such materials for its / their own internal business practices as long as all agreed contractual fees are fully paid. Licence prices for Trade Engine access vary based upon the size of organisation and number of users. The amount paid by the Company / Person for this access will be based on information supplied by them at the point of purchase. Where this information is found to be incorrect, either deliberate or accidental, Trade Engine reserve the right to charge additional fees for any amounts which have been undercharged.

[3] If the Software User has any queries about the legal use of this software, please contact Trade Engine at any time.

[4] It is not permitted for the Software User to provide copies of any part of Trade Engine (free or chargeable) to any other body, person or organisation without the explicit written permission of Trade Engine, except where it is in conjunction with demonstrating the Software User’s compliance to Standards in the ISO, PAS or MCS families.

[5] Use of Trade Engine will not guarantee certification by any Certification Body, as it is the responsibility of the Software User or their Company to demonstrate that their Quality Management System (QMS) is correctly implemented, understood and maintained and all the latest and relevant Standards requirements adhered to. Whilst Trade Engine provides this QMS software and relevant training and support, it requires input from the Software User to make it apply to their Company and ensure that all standards are met.

[6] The Trade Engine software does not cover the technical competences for users required to achieve certification. If in any doubt about the technical competences required for the standards you wish to comply with, it is recommended that you refer to the appropriate standard. Copies of ISO9001 and PAS 2030 are available to purchase from BSI, or via Trade Engine (in the firm’s capacity as a BSI Affiliate) if preferred. Please contact us for further information. Some Certification Bodies may require that you hold a copy of the Standards you are audited against.

[7] Any accreditation fees to register compliance do not form part of your payment for Trade Engine. This is for the software and ongoing technical support. Certification Bodies will charge the Software User / Company directly, should they choose to gain accreditation.

[8] Trade Engine reserve the right to change the content of the Trade Engine cloud QMS, suspend or discontinue any aspect of the software at any time, which may include access. Subject to our notifying you to the contrary, any amendments or new content to this system will be subject to these terms. Trade Engine shall not be liable for any external factors beyond the company’s control, including but not limited to; issues with accessing this system, or changes in Government and/or Legislation.

[9] The non-exclusive licence for use of and access to Trade Engine and all associated Intellectual Property is valid for a period of 12 months from date of invoice. After this period, options to pay a renewal fee will be available, otherwise access to Trade Engine will be withdrawn. Annual licence renewal fees will vary based on the size of business and number of users at the time of purchase.

[10] It is the Software User’s responsibility to ensure that their computer(s) is/are virus protected. Trade Engine accepts no responsibility for any loss you may suffer as a result of accessing or downloading information from Trade Engine.

[11] Whilst Trade Engine takes all reasonable steps to ensure that the information contained within the system is accurate and up-to-date, it is nonetheless supplied on an “as is” basis and accordingly Trade Engine does not accept any liability for any errors or omissions. If you are in any doubt as to the validity of information made available within the software, we recommend you contact us immediately.

[12] Whilst Trade Engine takes all reasonable steps to ensure this system is always accessible and secure, the company will not be held liable if, for any reason, the software is unavailable for any period (including situations where this may affect access to records or projects), or any data is lost. There may also be requirements to suspend access to the system for routine or emergency updates and maintenance but Trade Engine will endeavour to keep any disruption to a minimum.

[13] All Trade Engine services are subject to a standard 7 day cooling off period unless any element of the of software, support materials or technical support service have been accessed by the Software User(s) (which includes logging into Trade Engine with the original username and password supplied) or any associated training has been delivered (where applicable); otherwise all fees paid to Trade Engine are strictly non-refundable.

[14] Trade Engine will not be liable for any costs, claims, demands, liabilities, expenses, damages or losses (including without limitation consequential losses, loss of profits and loss of reputation) above any fee paid by the Software User, arising directly or indirectly out of use of this software.

The use of any or all parts of the Trade Engine software platform indicates acceptance of the above Terms and Conditions.
